Bregal Milestone held the final close of Fund III at €915m, hitting its increased hard cap after an oversubscribed fundraising. The fund nearly doubles the firm's maiden vehicle and reflects continued LP appetite for European software specialists. The raise positions Milestone among the largest dedicated vertical software investors in Europe, coming roughly three years after Fund II's close.
The trajectory from €490m to €915m over two fund cycles is aggressive even for a sector where demand has remained resilient through broader fundraising headwinds. Most European growth equity firms have added 30–50% per fund in this vintage window — Milestone's 87% step-up from Fund I suggests either unusually strong DPI performance from early exits or a deliberate pivot toward larger check sizes and later-stage entry points. Comparables include Hg's Saturn 3 (€3.5bn final close in late 2023, also oversubscribed) and Five Arrows Growth Capital's Fund II (€1.1bn, closed Q1 2024), both vertical software-focused and both marking significant upsizing from predecessors.
The question is deployment pace and competitive positioning. At €915m, Milestone is writing checks large enough to compete with generalist growth firms like General Atlantic or Insight Partners on Series C and D rounds, but the fund is still small enough to lead Series B deals in European software markets where $20m–30m rounds remain typical. If the firm skews toward later stages to justify the fund size, it risks becoming a follower in processes dominated by larger US crossover funds. If it holds to earlier entry points, deployment will take longer than the 3–4 year window typical for prior funds — worth watching is whether Milestone opens a Fund IV raise before Fund III is 60% deployed, a pattern common among firms managing LP demand but constrained by team bandwidth.
